Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of services provided by Luxardo Labs LLC ("Luxardo Labs," "we," "us," or "our"), including:

  • Our mobile applications (currently LuxBox for iOS, and future apps)
  • Our website at luxardolabs.com and any subdomains
  • Our email communications and newsletters
  • Any other services, features, content, or applications we offer (collectively, the "Services")

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you disagree with any part of these terms, please do not use our Services.

IMPORTANT: For iOS applications downloaded from the Apple App Store, these Terms are in addition to, and do not replace, Apple's standard End User License Agreement (EULA) and App Store Terms of Service. In case of conflict between these Terms and Apple's terms regarding app functionality, purchases, or technical requirements, Apple's terms shall prevail.

2. Eligibility and Account Registration

Age Requirements

You must be at least 13 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement. If you are under 18, you must have parental or guardian consent to use our Services.

Account Registration

Some of our Services may require account registration. When you create an account:

  • You must provide accurate, complete, and current information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

Note: LuxBox app currently does not require account registration. Your data is stored locally on your device and in your personal iCloud account if you enable sync.

3. Service-Specific Terms

3.1 LuxBox Mobile Application

App Functionality

LuxBox is a gift card management application that allows you to:

  • Store and organize gift card information
  • Track balances and expiration dates
  • Receive notifications for expiring cards (if enabled)
  • Sync data across your devices via iCloud (optional)
  • Export your data in various formats

Data Storage and Ownership

  • You retain full ownership of all gift card data you enter into LuxBox
  • Your data is stored locally on your device using Core Data
  • Sensitive information (card numbers, PINs) is encrypted using industry-standard encryption
  • If you enable iCloud sync, data is stored in your personal iCloud account via CloudKit
  • We do not have access to your gift card data

Premium Features and Subscriptions

LuxBox may offer premium features through in-app purchases or subscriptions (monthly, yearly, or lifetime options):

  • All purchases are processed by Apple through the App Store
  • Subscription terms, pricing, and renewal policies are governed by Apple's terms
  • You can manage subscriptions through your Apple ID account settings
  • Refunds are handled according to Apple's refund policy
  • We do not store or have access to your payment information

App Store Specific Terms

For LuxBox and any future iOS applications:

  • Apple is not responsible for our apps or their content
  • Apple has no obligation to provide maintenance or support services
  • All claims, liabilities, losses, and damages related to our apps are solely our responsibility, not Apple's
  • Apple is a third-party beneficiary of these Terms and has the right to enforce them
  • You must comply with applicable third-party terms when using our apps

3.2 Website Services

When using our website, you agree to:

  • Use the website only for lawful purposes
  • Not attempt to gain unauthorized access to any part of the website
  • Not interfere with or disrupt the website's operation
  • Accept our use of cookies as described in our Cookie Policy

3.3 Email Communications

If you subscribe to our newsletter or email communications:

  • You consent to receive emails from us at the address you provide
  • You can unsubscribe at any time using the link in our emails
  • We will only use your email as described in our Privacy Policy

4. Acceptable Use Policy

You agree NOT to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' data
  • Harass, abuse, or harm others
  • Engage in any fraudulent or deceptive activities
  • Reverse engineer, decompile, or disassemble our software
  • Use automated systems or bots to access our Services
  • Circumvent any security measures or access restrictions
  • Use our Services for commercial purposes without our permission
  • Store or transmit illegal content
  • Impersonate any person or entity

5. Intellectual Property Rights

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and compilations thereof, are the exclusive property of Luxardo Labs or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all rights to any content you create or upload using our Services ("User Content"). By using our Services, you grant us a limited, non-exclusive, royalty-free license to:

  • Store and backup your content as necessary to provide the Services
  • Display your content to you within the Services
  • Process your content as necessary for features like search or organization

This license is solely for the purpose of operating and improving our Services and does not give us rights to use your content for marketing or other commercial purposes.

Feedback

If you provide us with feedback, suggestions, or ideas ("Feedback"), you grant us the right to use such Feedback without restriction and without compensation to you.

6. Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy and Cookie Policy. By using our Services, you consent to our collection and use of information as described in these policies.

For LuxBox users: Your gift card data remains under your control. We do not access, collect, or share your gift card information. All data is stored locally on your device or in your personal iCloud account.

7. Third-Party Services and Content

Our Services may contain links to third-party websites or services that are not owned or controlled by Luxardo Labs. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Third-party services integrated with our Services include:

  • Apple services (iCloud, StoreKit) for iOS apps
  • Analytics services (as described in our Privacy Policy)
  • Email service providers
  • Payment processors for website purchases

8. Disclaimers and Limitations of Liability

No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, LUXARDO LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, secure, or error-free
  • Any defects or errors will be corrected
  • The Services will be free of viruses or harmful components
  • The results of using the Services will meet your requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LUXARDO LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Services
  • Any unauthorized access to or alteration of your data
  • Any content or conduct of any third party on the Services
  • Any content obtained from the Services
  • Any bugs, viruses, or other harmful code transmitted through the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

LuxBox Specific Disclaimer

LuxBox is a tool for personal gift card management. We are not responsible for:

  • The accuracy of balance information you enter
  • Lost or stolen gift cards
  • Merchant policies or gift card terms
  • Any financial losses related to gift card use or expiration

9. Indemnification

You agree to indemnify, defend, and hold harmless Luxardo Labs and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

  • Your right to use the Services will cease immediately
  • We may delete any data associated with your account
  • For LuxBox users: Your local app data remains on your device
  • Provisions of these Terms that should survive termination will remain in effect

You may terminate your use of our Services at any time by:

  • Deleting the app from your device
  • Unsubscribing from our emails
  • Ceasing to use our website
  • Canceling any active subscriptions through your app store account

11. Dispute Resolution

Informal Resolution

Before filing a claim against Luxardo Labs, you agree to try to resolve the dispute informally by contacting us at support@luxardolabs.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Luxardo Labs may bring a formal proceeding.

Arbitration Agreement

You and Luxardo Labs agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth below. The arbitration will be conducted under the American Arbitration Association (AAA) rules. The arbitration will be held in St. Louis County, Missouri, unless we agree otherwise.

Exception - Small Claims Court

Either party may bring a lawsuit in small claims court in St. Louis County, Missouri for disputes or claims within that court's jurisdiction.

Class Action Waiver

YOU AND LUXARDO LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes that materially affect your rights, we will provide notice through:

  • Email (if you've provided one)
  • A notice on our website
  • An app update notification

By continuing to use our Services after changes become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using our Services.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Luxardo Labs regarding the Services.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights under these Terms without restriction.

No Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or of the right to enforce such provision.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to causes beyond our reasonable control.

16. Apple-Specific Terms

For users who download our iOS applications from the Apple App Store, the following additional terms apply:

  • These Terms are between you and Luxardo Labs only, not with Apple
  • Apple has no obligation to furnish any maintenance and support services with respect to our apps
  • In the event of any failure of our app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app
  • Apple has no other warranty obligation whatsoever with respect to our apps
  • Apple is not responsible for addressing any claims relating to our apps or your possession and/or use of our apps
  • Apple is not responsible for the investigation, defense, settlement and discharge of any third-party intellectual property infringement claim
  • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary
  • You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties

17. Export Compliance

Our Services may be subject to United States export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and sanctions programs maintained by the Treasury Department's Office of Foreign Assets Control. You represent and warrant that you are not located in any country subject to a U.S. Government embargo or designated as a "terrorist supporting" country.

18. Beta Features and Testing

We may offer access to beta, preview, or early access features ("Beta Features") that are still in development:

  • Beta Features are provided "as is" without any warranties
  • Beta Features may not work correctly and may be changed or discontinued at any time
  • Information about Beta Features is confidential and should not be shared publicly
  • We may collect additional feedback and usage data from Beta Features
  • Your use of Beta Features is at your own risk
  • We appreciate your feedback on Beta Features to help improve our Services
